YOURBACKERS TERMS OF USE

Welcome to YourBackers. YourBackers provides an online service that enables users to access and enjoy entertainment content (“YourBackers Content”) over the internet on compatible televisions, computers, mobile devices, and other internet-connected devices (“YourBackers Supported Devices”).

Your contractual partner and primary consumer point of contact under these Terms of Use is YourBackers Private Limited. These Terms of Use govern and regulate your access to and use of the YourBackers service.

For the purposes of these Terms, the “YourBackers Service” or “the Service” refers to the platform provided by YourBackers for discovering, accessing, and viewing YourBackers Content. This includes, without limitation, all personalization tools, features, functionalities, recommendations, reviews, related websites, applications, and user interfaces, as well as all content, technology, and software made available through the Service.

THE YOURBACKERS SERVICES

ACCESS TO THE YOURBACKERS SERVICe

To access and use the YourBackers Service, you must have a valid internet connection and a YourBackers Supported Device. Certain features, content, or offerings may be available free of charge and may be accessed without creating an account or providing a Payment Method. However, other features require you to create a YourBackers account or purchase a subscription, subject to the subscription terms set out below.

You may also access the YourBackers Service as a profile user under an Account Owner’s subscription, provided you are part of the same household. Where available, you may also access the service as an Extra Member if you reside outside the Account Owner’s household.

For the purposes of these Terms, “Account Owner” refers to the user who creates the YourBackers account and whose Payment Method is charged for the subscription.

AGE LIMITATION

You must be at least 18 years of age to create a YourBackers account or, where available, to become an Extra Member. Minors may access and use the Service only under the supervision and responsibility of a parent or legal guardian.

OFFERS

From time to time, YourBackers may provide special promotional offers, including sweepstakes, discounts, incentives, plans, or subscription packages (collectively, “Offers”).

Eligibility for such Offers shall be determined solely at the discretion of YourBackers, and we reserve the right to revoke any Offer and place your account on hold if we determine that you are not eligible. Members of households with an existing or recently active YourBackers account may not qualify for certain introductory Offers.

To assess eligibility, we may use information such as device identifiers, payment methods, or contact details. The applicable eligibility criteria, limitations, and conditions for each Offer will be disclosed at the time of sign-up or through other communications made available to you.

ACCOUNT SHARING

The YourBackers Service and all content accessed through it are intended solely for your personal and non-commercial use. Access to the Service may not be shared with individuals outside your household unless you have purchased an Extra Member account, where such feature is available.

ACCESS LIMITATIONS

You may access YourBackers Content primarily within the country in which your account is established and only in geographic locations where the YourBackers Service is available and the relevant content has been licensed.

For the purpose of determining applicable taxes on your subscription, we may use the IP address provided at the time you sign up for the Service. Content availability may vary by geographic location and may be restricted by law or by the rights granted by third-party content providers. Such content may also change from time to time without prior notice.

The number of devices on which you may simultaneously view content will depend on your selected subscription plan and will be specified on the Account page.

AVAILABILITY AND TESTING

The YourBackers Service, including YourBackers Content, is continuously updated and improved. Accordingly, we do not guarantee that specific content will remain available on the Service at all times. While we strive to deliver a consistent and high-quality viewing experience, certain content or features may become temporarily unavailable due to demand, technical limitations, licensing restrictions, or system maintenance.

Additionally, various aspects of the Service including websites, user interfaces, and promotional features may be periodically tested. You may opt out of participation in such testing at any time by visiting the Account page and adjusting the Test Participation settings.

DOWNLOADING CONTENT

Depending on your subscription plan, certain YourBackers Content may be available for temporary download and offline viewing on supported devices (“Offline Titles”).

Offline viewing is subject to limitations, including restrictions on:

the number of Offline Titles per account,

the number of devices that may store Offline Titles,

the time period within which you must begin viewing downloaded, content

the duration for which Offline Titles remain accessible.

Some Offline Titles may not be available in certain countries. If you connect to the internet in a location where a particular Offline Title is not licensed for streaming, that Offline Title may become unavailable while you are in that location.

USAGE RIGHTS AND RESTRICTIONS

Subject to these Terms of Use, and only to the extent expressly authorised, YourBackers grants you a limited, non-exclusive, non-transferable, and revocable right to access and use the YourBackers Service. Except for the limited rights expressly granted herein, no right, title, or interest in or to the Service or YourBackers Content is transferred to you.

You agree to use the YourBackers Service, including all associated features and functionalities, in compliance with all applicable laws, rules, regulations, and any restrictions governing the use of the Service or its content.

Unless expressly authorised by YourBackers in writing, you agree that you will not:

Use the Service for any commercial purpose or public performance;

Archive, reproduce, distribute, modify, display, perform, publish, license, create derivative works from, offer for sale, or otherwise use any content or information obtained from or through the YourBackers Service.

Circumvent, remove, alter, deactivate, degrade, block, obscure, or otherwise interfere with any content protection mechanisms or elements of the Service, including the graphical user interface, advertising features, copyright notices, or trademarks;

Use any robot, spider, scraper, or other automated means to access the Service;

Decompile, reverse engineer, or disassemble any software, applications, or processes accessible through the Service;

Insert any code or product, or manipulate the content of the Service in any manner;

Use any data mining, data gathering, or data extraction methods;

Upload, post, email, or otherwise transmit any material designed to interrupt, destroy, or limit the functionality of any software, hardware, or telecommunications equipment associated with the Service, including viruses, malicious code, files, or programs; or

Engage in any of the foregoing activities in connection with the use, creation, development, modification, prompting, fine-tuning, training, testing, benchmarking, or validation of any machine learning tool, model, system, algorithm, product, or related technology.

We reserve the right to suspend, restrict, or terminate your access to the YourBackers Service if you violate these Terms of Use or engage in any unlawful, fraudulent, or unauthorized use of the Service.

VIEWING EXPERIENCE AND TECHNICAL REQUIREMENTS

The quality of YourBackers Content may vary depending on the device used and several external factors, including your location, available bandwidth, and the speed of your internet connection. Availability of HD, Full HD, Ultra HD, HDR, and spatial audio is subject to your internet service and device capabilities. Not all content is available in every format, and not all subscription plans support access to every available format.

For optimal viewing:

A minimum connection speed of 3.0 Mbps per stream is required for HD video quality (720p or higher).

A connection speed of 5.0 Mbps per stream is recommended for Full HD video quality (1080p or higher).

A connection speed of 15.0 Mbps per stream is recommended for Ultra HD video quality (4K or higher).

You are responsible for all internet access charges incurred while using the Service. Please consult your internet service provider regarding potential data usage fees.

The time required to begin streaming YourBackers Content may vary depending on factors such as your location, current bandwidth availability, the content selected, and the configuration of your YourBackers Supported Device.

YOURBACKERS SOFTWARE AND UPDATES

The YourBackers software is developed by or on behalf of YourBackers and may be used solely for authorised access to YourBackers Content through YourBackers Supported Devices. The software may vary across devices and platforms, and available features and functionalities may differ depending on the device used.

You acknowledge that use of the Service may require third-party software that is subject to separate third-party licence terms. You further agree that updated versions of the YourBackers software, as well as related third-party software, may be automatically installed or made available from time to time to ensure continued functionality, security, and performance of the Service.

INTERACTIVE FEATURES

YourBackers may offer certain Interactive Features as part of the Service. “Interactive Features” include any real-time or near real-time functionality that enables users to participate in or interact with programming or other users, such as live chat, polls, voting, multiplayer gaming, game shows, and similar engagement tools.

Your use of Interactive Features is subject to these Terms of Use, our Community Guidelines, and any official rules published for specific events or features.

To protect integrity, user safety, and legal compliance, YourBackers reserves the right to take interim measures, including suspending voting, disqualifying entries, or voiding results. We may also suspend or terminate your access to any Interactive Feature immediately if you breach these Terms, violate our policies, or if your use presents a safety or legal risk.

SUBSCRIPTION TERMS

BILLING CYCLE AND PAYMENT TERMS

Your YourBackers subscription will continue until it is cancelled. To purchase a subscription, you must add one or more Payment Methods to your account. A “Payment Method” refers to a current, valid, and accepted method of payment, which may be updated from time to time and may include payments processed through third-party accounts.

Unless you cancel your subscription prior to the applicable billing date, you authorise YourBackers to automatically charge the subscription fee for the next billing cycle to your Payment Method (see Cancellation below). Subscription fees and any additional charges incurred in connection with your use of the Service — including applicable taxes and transaction fees — will be charged on the payment date displayed on the Account page.

The length of your billing cycle will depend on the subscription plan selected at the time of sign-up. In certain circumstances, your payment date may change, including where your Payment Method fails to settle, when you change your subscription plan, or when your subscription began on a date that does not occur in a particular month. You can view your next billing date at any time on the Account page.

YourBackers may authorise your Payment Method to verify its validity and to secure payment of upcoming charges, including through a pre-authorisation of up to one month of service upon registration.

If you subscribed through a third-party account as your Payment Method, billing information relating to your YourBackers subscription may be accessed through the applicable third-party account.

PAYMENT METHODS

You authorise YourBackers to charge any Payment Method associated with your account if your primary Payment Method is declined or becomes unavailable for payment of your subscription fees. You remain responsible for any outstanding or uncollected amounts.

If a payment is not successfully processed due to expiration, insufficient funds, or any other reason, and you do not cancel your subscription, YourBackers may suspend your access to the Service until a valid Payment Method has been successfully charged.

Certain Payment Methods may incur additional charges imposed by the payment issuer, including foreign transaction fees or other processing fees. Applicable taxes may vary depending on the Payment Method used. Please contact your Payment Method provider for further details.

UPDATING YOUR PAYMENT METHODS

You may update your Payment Methods at any time through the Account page. We may also update your Payment Methods using information provided by payment service providers.

Following any such update, you authorise YourBackers to continue charging the applicable Payment Method(s) for all subscription fees and related charge

ADVERTISEMENTS AND COMMERCIAL CONTENT

While our subscription plans are designed to provide an experience without commercial interruptions, you may occasionally see advertisements. These may appear during certain live or special events (including replays), as part of scheduled or linear programming, or where required by streaming rights, legal obligations, or contractual arrangements.

The service may also include limited commercial content, such as branded content, sponsorship messages, promotions for YourBackers content, or information about other YourBackers products or services.

YourBackers does not endorse or sponsor any third-party products or services that may be advertised. Any interactions with advertisers, including engagement with interactive advertisements, are undertaken at your own discretion and risk.

SUBSCRIPTIONS OBTAINED THROUGH THIRD PARTIES

Certain subscriptions may be offered or billed by third parties in connection with their own products or services. YourBackers shall not be responsible or liable for the products, services, billing practices, or performance of such third parties.

Where a subscription is obtained through a third party, the terms, conditions, restrictions, and limitations of that third party may apply in addition to these Terms. Any differences relating to pricing, billing cycles, cancellation rights, features, or access conditions will be disclosed prior to sign-up or through other communications made available by the relevant third party.

CANCELLATION

You may cancel your YourBackers subscription at any time by visiting the “Account” page and following the cancellation instructions. The cancellation will take effect at the end of the then-current billing period.

To the fullest extent permitted by applicable law, all payments are non-refundable, and no refunds or credits will be provided for partial billing periods or unused services or content. You can view the date on which your subscription will end on the “Account” page.

If you subscribed through a third-party payment provider or platform, you may be required to cancel your subscription directly through that third party (for example, by disabling auto-renewal or unsubscribing through your account with the relevant provider).

CHANGES TO THE PRICE AND SUBSCRIPTION PLANS

We may revise our subscription plans and the pricing of the service from time to time. Any changes to your subscription plan or applicable fees will be communicated to you at least one (1) month in advance before such changes take effect. Continued use of the service after the effective date of the change will constitute your acceptance of the revised pricing or subscription plan.

EXTRA MEMBERS

Creation of an Extra Member Account

Where this feature is available and permitted under the Account Owner’s subscription plan, the Account Owner may purchase an Extra Member account, allowing an individual outside the Account Owner’s household (“Extra Member”) to access the YourBackers service under the Account Owner’s subscription, subject to these Terms of Use.

Any subscription fees associated with the Extra Member account will be charged to the Account Owner’s designated payment method. The Extra Member account may only be activated in the country where the Account Owner originally created their YourBackers account.

CANCELLATION OR CHANGE OF BENEFICIARY FOR AN EXTRA MEMBER ACCOUNT

An Extra Member may cancel their account at any time. Upon cancellation, the Extra Member’s access to the YourBackers service will terminate immediately.

The Account Owner may also, at their sole discretion and at any time, remove the Extra Member feature from their subscription or change the designated beneficiary of the Extra Member account. If the Account Owner removes the Extra Member feature, the Extra Member will retain access to the YourBackers service until the end of the Account Owner’s current billing period. If the Account Owner changes the beneficiary of the Extra Member account, the previous beneficiary’s access to the YourBackers service will terminate immediately.

An Extra Member who wishes to continue using the service may upgrade their Extra Member account to an independent subscription through the “Account” page.

ACCOUNT ACCESS

You are responsible for all activity conducted through your YourBackers account. By granting others access to your account, including access to account activity and usage information, you acknowledge and agree that such individuals are acting on your behalf, and you accept responsibility for any changes they may make to the account, including modifications to subscription plans.

To help maintain the security of your account and prevent unauthorized access, you are responsible for safeguarding the devices used to access the service and for keeping your login credentials and payment method details confidential.

You agree to provide and maintain accurate and up-to-date account information, including valid contact details, so that we may send you important account-related notifications.

YourBackers reserves the right to suspend or terminate your account, or place it on hold, in order to protect you, YourBackers, or our partners from identity theft, fraud, or other unauthorized activities.

WARRANTIES AND LIMITATIONS OF LIABILITY

The YourBackers service is provided on an “as is” and “as available” basis, without warranties or conditions of any kind, whether express or implied. While we strive to provide a reliable and uninterrupted service, we do not guarantee that the service will always be available, uninterrupted, secure, or error-free.

To the fullest extent permitted by applicable law, you waive any claims against YourBackers for indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of the service.

Nothing in these Terms shall limit or exclude any non-waivable warranties, statutory rights, or mandatory consumer protection rights that may apply to you under applicable law.

CLASS ACTION WAIVER

To the fullest extent permitted under applicable law, you and YourBackers agree that any claims or disputes arising between the parties may only be brought in an individual capacity, and not as a plaintiff, claimant, or class member in any purported class action, collective action, or representative proceeding.

Unless otherwise agreed in writing by both you and YourBackers, no court or tribunal shall have the authority to consolidate multiple individuals’ claims with your claim, or to preside over any form of representative, collective, or class proceeding.

MISCELLANEOUS

GOVERNING LAW.

These Terms of Use shall be governed by and construed in accordancewith the laws of India.

UNSOLICITED MATERIALS

YourBackers does not accept unsolicited materials, suggestions, ideas, concepts, or content submissions. Any materials or ideas submitted to YourBackers without prior request or written agreement shall be deemed non-confidential and non-proprietary.

YourBackers shall not be responsible or liable for any similarity between its services, content, features, or programming and any materials or ideas submitted by users or third parties.

FEEDBACK

YourBackers is free to use any comments, suggestions, ideas, concepts, reviews, techniques, or other materials contained in any communication you submit to us (“Feedback”), including responses to surveys, questionnaires, support interactions, or postings made through the YourBackers service, related websites, or user interfaces.

By submitting Feedback, you grant YourBackers a worldwide, perpetual, irrevocable, royalty-free, and non-exclusive right to use, reproduce, modify, adapt, publish, distribute, and incorporate such Feedback for any purpose, including the development, improvement, marketing, and operation of products and services, without any obligation to provide compensation, acknowledgment, or payment to you.

CUSTOMER SUPPORT

To learn more about the service and its features, or if you require assistance with your account, please visit the YourBackers Help Center, accessible through the YourBackers website.

In certain instances, Customer Support may provide assistance using a remote access support tool, which may allow limited access to your device solely for troubleshooting purposes. If you do not consent to such remote access, you may decline its use, and support will be provided through alternative methods.

In the event of any conflict between these Terms of Use and any information provided by Customer Support or other sections of the website, these Terms of Use shall prevail.

SURVIVAL

If any provision of these Terms of Use is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, while preserving its intent as closely as possible.

CHANGES TO THESE TERMS AND ASSIGNMENT

We may update or modify these Terms of Use from time to time. In the event of material changes, we will provide you with notice at least one (1) month before the changes take effect.

We may assign or transfer our agreement with you, including any associated rights and obligations, at any time. You agree to cooperate with us as reasonably necessary in connection with any such assignment or transfer.

EVENTS BEYOND OUR REASONABLE CONTROL

The YourBackers service and/or certain content may, from time to time, be unavailable as a result of events beyond our reasonable control. Such events may include, but are not limited to: (i) power or server outages; (ii) acts or failures of third parties, including network providers; (iii) war, riots, strikes, or civil unrest; and/or (iv) any other events or circumstances beyond our reasonable control.

While we will make reasonable efforts to provide advance notice where practicable, to the extent permitted by applicable law, YourBackers shall not be held liable for any failure or delay in performance arising from such events.

ELECTRONIC COMMUNICATIONS

We will send you information relating to your account, including payment authorizations, invoices, changes to contact details or payment methods, confirmations, and other notices, in electronic form only.
